Parties
1. 3C Homes Registered Office 10A Westech Place, Glen Eden, Auckland 0602, New Zealand trading as 3C Homes (‘Principal’); and 2. The party listed in the Schedule to this Agreement (‘Referrer’).

Recitals
1. The Principal operates a building business (‘Business’).
2. The Principal intends to market the Business via a referral system.
3. As consideration for the Referrer providing referrals to the Business, the Principal shall pay to the Referrer the Incentive pursuant to these Referral Terms and Conditions (‘Terms’).

Terms and Conditions
1. General
1.1. These Terms apply to every referral project provided by the Referrer to the Business.
1.2. Any referral provided by the Referrer constitutes full acceptance of these Terms.
1.3. The Referrer shall not be implied as an employee, partner, representative or agent of the Principal. The relationship of the parties is that of independent contractors only.
1.4. The Referrer acknowledges that the Principal may enter into similar referral arrangements with other parties.
1.5. This Agreement shall operate and remain effective from 12:00am 1 January 2023 to 5:00pm 31 December 2024 (NZST) unless terminated by either party with written notice to the other party.

2. Referral Process, Preconditions and Eligibility
The parties agree and acknowledge that a referral is deemed to have occurred if, the following conditions have been satisfied:
2.1. The Referrer refers a person, business establishment or other legal entity, other than the Referrer for the purpose of engaging the Principal to provide building services (‘Client’);
2.2. The Referrer provides the full name, address and contact information of the Client to the Principal. It should say in writing that the Client is interested in engaging the Principal to provide building services;
2.3. The building contract value should be at least $150,000.00 including GST (fixed price not including any variation, charge up or cost-plus contract work) between 1 January 2023 and 31 December 2024;
2.4. The Client should not have been previously introduced or referred to the Business or the Principal;
2.5. The Client and Principal should not have had previous discussions regarding building services; and
2.6. The Client did not have previous engagement with the Business or the Principal to provide building services.

3. Remuneration
3.1. In the event that the Referrer provides a referral to the business in accordance with clause 2, then the Principal shall pay to the
Referrer 1% of the value of the building contract (excluding any variation, charge up or cost-plus works) entered into by the Client with the Principal (“Incentive’).
3.2. Payment will be split into 2 equal parts and deposited into your bank account. 1st payment will be paid once a contract is signed with 3C Homes and deposit has been received. Second payment balance will be paid once the contract has reached half way.
3.3 Maximum referral amount will be capped at $5000.

4. Privacy and Confidentiality
4.1. The Referrer acknowledges and agrees to inform all Clients that their personal information will be forwarded to the Principal for the purposes of this Agreement and may be used for marketing purpose.
4.2. The Principal accepts no liability whatsoever in the event of the Referrer using Client information outside of this Agreement.

5. Miscellaneous
5.1. In the event of a dispute or need for clarification from either party, the Referrer acknowledges and agrees that all decisions or information provided by the Principal are final and binding under this Agreement.
5.2. No right or obligation is permitted to be transferred, exchanged, assigned or otherwise dealt with by the Referrer without the prior written consent of the Principal.
5.3. The Principal reserves the right to unilaterally amend these Terms from time to time, otherwise any other amendment of these Terms must be agreed in writing between the parties.
5.4. The parties agree that the laws of New Zealand govern this Agreement and agree to submit to the non-exclusive jurisdiction of the courts.
